"Anatomy of an Effective Consulting Agreement” 


Summary: Contracts are one of the most effective tools in setting clear expectations and minimizing risk in business relationships. In this program, we will tackle the important components of consulting agreements and independent contractor relationships including descriptions of services, fee structures, termination provisions, limitations on liability, and the "boilerplate” terms. We will also touch briefly on issues and concerns when working with, or for, other consultants, as well as bright-line rules for differentiating long-term contractors from de facto employees. You will walk away from this program with a deeper understanding of how to read, craft, and negotiate the various aspects of a consulting agreement to protect your business and yourself.

 

Speaker: Michelle Hayden Bomberger, founder and Managing Attorney of Equinox Business Law Group PLLC, is an experienced businesswoman turned lawyer. Michelle began her career in business as a consultant with Ernst & Young LLP serving Fortune 500 clients and further deepened her knowledge of business operations as a Senior Manager of Auditing Services at Cingular Wireless. Michelle founded Equinox in 2005 with a mission to help business owners and CEOs find balance in business. Michelle serves on the Advisory Board for the Entrepreneurship Center at Seattle University and volunteers as a student mentor and guest lecturer at both the business school and law school at Seattle University. She also provides pro-bono legal services to non-profit organizations through Washington Attorneys Assisting Community Organizations. Michelle attended graduate school at Northwestern University in Chicago, obtaining a JD from the School of Law and an MBA from the Kellogg Graduate School of Management. She has an undergraduate degree in Finance and Computer Applications from the University of Notre Dame.
